TERMS AND CONDITIONS OF SALE

1. The customer explicitly waives his own general terms and conditions, even if they were drawn up after these general terms and conditions of sale. In order to be valid, any deviation must be expressly agreed in writing beforehand.  


2. Our invoices are payable within 15 days, unless another payment deadline is indicated either on the invoice or on the order. In the event of non-payment on the due date, RED VISION reserves the right to demand payment of a flat-rate interest charge amounting to 5% of the total invoice sum. RED VISION is entitled to suspend any provision of services without prior warning in the event of late payment.


3. By signing a quotation, the customer agrees to pay the total amount indicated on the quotation. In the event of cancellation more than 30 days before the event, the customer will be required to pay 50% of the quote as administrative compensation. If the customer cancels more than one week before the event, he/she must pay 75% of the quote. Cancellations made less than one week before the date of the service will incur the full payment mentioned on the quotation. 


4. The customer undertakes to pay a deposit of 30 to 50 percent of the total amount of the quotation before the start of the work, unless agreed otherwise in advance. The balance is due on delivery of the services. All our contractual relations are governed exclusively by Swiss law. The place of jurisdiction is the canton of Vaud. In the event of force majeure, RED VISION cannot be held responsible for delays or failures in the execution of its contractual obligations. Cases of force majeure include, in particular, natural disasters, armed conflicts, strikes and interruptions of public services. If any provision of these terms and conditions is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.


5. For all contracts based on a monthly service, the customer agrees to 3 months' notice to terminate the contract.


6. For any contract based on a periodicity, the customer must pay in full for the services provided, even if they were provided in advance (e.g. social media management over 3 months, paid monthly, the customer must pay for the 3 months even if he wishes to cancel the contract during the first month).


7. If a payment remains unpaid more than sixty (60) days after the due date, RED VISION reserves the right to call in a debt collection company. All legal costs will be borne by the customer. 


8. Some countries apply a withholding tax on the amount of invoices, in accordance with their domestic legislation. Any withholding tax will be paid by the customer to the tax authorities. RED VISION can in no way be involved in the costs associated with the legislation of a country. The invoice amount will therefore be due to RED VISION in its entirety and will not include any costs related to the legislation of the country in which the customer is located.


9. RED VISION undertakes to do its utmost to provide efficient services on time and within the agreed deadlines. However, none of its obligations can be considered as an obligation of result. RED VISION cannot under any circumstances be required by the customer to intervene as a third party in an action for damages brought against the customer by an end consumer. 


10. RED VISION is no longer responsible for the payment and management of software or external contracts that are paid for on a monthly/annual basis if the Agent decides to terminate the contract signed with RED VISION. The agent must then take over the management and payment of this software, contract or other.


11. All cyber protection must be provided by the Agent with its own insurance. 


12. To be admissible, any complaint must be notified to RED VISION by registered letter to its registered office within 8 days of delivery of the goods or provision of the services. 


13. Prices signed under quotation and granted to customers can be changed at any time for monetary reasons such as inflation or company expansion. RED VISION gives the customer 1 month's notice of cost increases.


14. RED VISION reserves the right to use images, designs, services or any services provided to its customers for promotional purposes, unless otherwise specified when the contract is signed.
